1. General Information
These Terms and Conditions ("Terms") govern all sales and services provided through the NOXWX website (the "Service"). The Service is operated by HADIDI BV, the legal entity identified in the footer of this site. These Terms apply to both consumers (B2C) and business customers (B2B) unless otherwise stated.
The legal operator is a Belgian BV (Besloten Vennootschap). Its registered office, enterprise number, VAT number and contact details are listed in the footer.
By placing an order or using our Service, you agree to be bound by these Terms. If you disagree with any part, you may not use our Service.
2. Orders
2.1 Offer and Acceptance
When you place an order, you make an offer to purchase the selected products under these Terms. We reserve the right to accept or reject your order for any reason, including but not limited to: product unavailability, pricing errors, suspected fraud, or failure to meet verification requirements (e.g. VAT validation for B2B customers).
2.2 Order Confirmation
A contract is formed only when we send you an order confirmation email. Until then, we may cancel or modify your order at our discretion.
2.3 B2B Orders
Business customers may place orders via their registered account, by email, or via phone. B2B pricing, minimum order quantities, and credit terms (where applicable) are individually agreed upon and confirmed in writing.
2.4 Order Modifications
Once an order is confirmed, modifications may not be possible. Please review your order carefully before submission. Use the contact details in the footer if you need assistance.
2.5 Availability
All products are subject to availability. If a product is out of stock after you place an order, we will notify you promptly and offer a replacement, backorder, or full refund.
3. Payment
3.1 Accepted Payment Methods
The payment methods accepted at checkout are those displayed when you place your order. They may include Belgian and EU card schemes, SEPA bank transfer, and any other provider configured in the checkout flow. The currently supported payment providers are listed in the Site Settings inside the public storefront and may evolve over time.
All card payments are processed by PCI-DSS Level 1 compliant providers. We never store full card numbers or CVV codes.
3.2 Pricing and VAT
• All prices on the Service include Belgian VAT at 21% for consumers (B2C), except where reverse-charge applies.
• B2B customers with a valid EU VAT number (validated via VIES) may purchase under the reverse-charge mechanism — 0% VAT applies when a valid VAT number is provided at checkout and confirmed via VIES.
• Prices are displayed in EUR (€). Shipping costs are shown separately at checkout.
• We reserve the right to change prices at any time without prior notice. Prices on a confirmed order are locked.
3.3 Invoicing
Invoices are issued electronically upon order dispatch. B2B customers receive VAT-compliant invoices. Paper invoices are available on request.
3.4 Late Payment (B2B)
For B2B customers on credit terms, payment is due within 30 days of the invoice date. Overdue amounts may incur interest and collection fees at the rates permitted under Belgian law.
4. Shipping & Delivery
4.1 Shipping Destinations
We ship to Belgium, all 27 EU member states, plus the United Kingdom, Norway, and Switzerland. Some restrictions may apply to oversized or regulated items; the checkout flow surfaces the available destinations before payment.
4.2 Delivery Times
Delivery times are estimates and not binding guarantees. Typical delivery windows:
• Belgium: 1-2 business days
• EU parcel service: 3-5 business days
• Pallet freight: 5-7 business days
4.3 Risk and Title
Risk of loss or damage to products passes to you upon delivery to the carrier. Title transfers when we receive full payment.
4.4 Delivery Issues
If your order arrives damaged, contact us within 48 hours with photos of the damage. We will arrange a replacement or refund at no cost.
4.5 Failed Delivery
If a delivery fails due to an incorrect address provided by you or your absence after two delivery attempts, return shipping costs may be deducted from your refund.

5. Returns & Right of Withdrawal
5.1 Consumer Right of Withdrawal (B2C)
Under EU Consumer Rights Directive 2011/83/EU, you have the right to withdraw from your purchase within 14 calendar days of receiving the goods, without giving any reason.
To exercise this right, notify us via the contact details listed in the footer within 14 days of delivery. You must then return the item(s) within 14 days of your cancellation notice.
5.2 Conditions for Returns
Items must be:
• Unused, uninstalled, and in original packaging
• With all accessories, manuals, and hardware
• In a resalable condition
5.3 Non-Returnable Items
The following are not eligible for return:
• Electrical parts (NOx sensors, injectors, ECUs) once seals are broken or installed
• Custom-order or special-order items
• Parts showing signs of use, mounting, or modification
• Items returned after the 14-day window
• Core units under exchange service (handled separately)
5.4 Refunds
We will refund the full purchase price (including standard shipping) within 14 days of receiving your cancellation notice. You bear the direct cost of returning the goods unless the item is defective or incorrect.
5.5 B2B Returns
Business customers must initiate returns within 7 days of delivery. Restocking fees of up to 25% may apply. Contact your account manager for the B2B return process.

6. Warranty
6.1 OEM Parts
Original Equipment Manufacturer parts carry the manufacturer's warranty, which is typically 2 years from the date of delivery. Claims are handled directly by the manufacturer or through us as an intermediary.
6.2 Aftermarket Parts
Aftermarket parts sold by us carry a 1-year warranty against manufacturing defects from the date of delivery.
6.3 DPF Filters
DPF filters carry an extended 2-year warranty when installed by a certified workshop and accompanied by a valid installation certificate.
6.4 Warranty Exclusions
The warranty does not cover:
• Damage caused by improper installation, accident, misuse, or neglect
• Normal wear and tear (e.g. brake pads, clutch discs, filters)
• Modification, disassembly, or repair by unauthorised third parties
• Failure to follow manufacturer maintenance instructions
• Consequential damage (e.g. engine damage caused by part failure)
6.5 Statutory Rights
These warranties are in addition to your statutory rights under Belgian and EU consumer law and do not affect them.
7. Limitation of Liability
7.1 General Limitation
To the maximum extent permitted by applicable law, the legal operator of the NOXWX website, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our Service or the purchase of our products.
7.2 Excluded Damages
This limitation applies to, but is not limited to:
• Loss of profits, revenue, or business opportunity
• Vehicle damage, downtime, or towing costs
• Installation, labour, or diagnostic costs
• Cost of substitute products or services
• Data loss or corruption
7.3 Cap on Liability
Our total aggregate liability for any claim, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount you paid for the specific product that gave rise to the claim.
7.4 Exceptions
Nothing in these Terms limits or excludes liability for:
• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Gross negligence or wilful misconduct (opzettelijk bedrog / dol)
• Any liability that cannot be excluded or limited under Belgian or EU law
7.5 B2B Specific
For B2B customers, the limitations in this section are agreed to be reasonable and proportionate given the nature of the products and the commercial relationship between the parties.
8. Governing Law & Dispute Resolution
8.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
8.2 Jurisdiction
Any dispute arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium, except where EU consumer protection rules grant you the right to bring proceedings in your country of residence.
8.3 Online Dispute Resolution (ODR)
EU consumers may use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr. Use the email listed in our footer for ODR matters.
8.4 Amicable Resolution
Before initiating legal proceedings, we encourage you to contact us via the address in the footer to attempt an amicable resolution. Our complaints handling procedure is available on request.
